It does not replace any signed Master Services Agreement (MSA), Statement of Work (SOW), Data Processing Addendum (DPA), Security Addendum, Employer of Record (EOR) / Staff Augmentation Addendum, service schedule, or other written agreement between UpperOps™ and a client, supplier, candidate, contractor, partner, or other counterparty.
Where a separate signed agreement applies, that agreement will control the specific contractual responsibilities, processing details, security obligations, service scope, and risk allocation for that engagement.
UpperOps™ is a business execution platform that may provide services across sourcing and production coordination, recruiting and talent support, staff augmentation coordination, creative support, data and technology support, workflow visibility, reporting, automation, and related business services.

For candidate, applicant, contractor, or UpperPeople™ submissions, UpperOps™ may use your information to evaluate fit for current or future opportunities, communicate with you, prepare candidate summaries, coordinate interviews, support client review, verify relevant details, maintain recruiting records, and manage talent-network workflows.
Submitting a profile, resume, curriculum vitae, application, or other candidate information does not guarantee employment, engagement, placement, interview selection, client presentation, or future opportunity. Final selection decisions may depend on role requirements, client needs, candidate availability, compensation alignment, market conditions, interview outcomes, legal structure, and other business factors.
Where relevant to a recruiting, staffing, or talent-support process, UpperOps™ may share candidate information with clients, prospective clients, interviewers, service providers, or authorized operational collaborators involved in the applicable process.
You are responsible for ensuring that the information you submit is accurate, current, lawful, and not misleading. You should not submit information about another person unless you have authority to do so.
UpperOps™ may retain candidate and UpperPeople™ profile information for future opportunities unless you request deletion, subject to applicable law, legitimate recordkeeping needs, dispute preservation, backup integrity, contractual obligations, or other lawful retention reasons.
UpperOps™ may handle different types of business and personal information depending on the relationship involved.
Client data may include business contacts, project files, operational records, workflow data, specifications, requirements, reports, system information, performance information, candidate requirements, communication records, and other information provided by or on behalf of a client.
Candidate data may include resumes, curriculum vitae, profiles, skills, work history, interview notes, recruiting notes, availability, compensation expectations, evaluation feedback, and related hiring or staffing information.
Operational data may include information used to coordinate workflows, manage execution, track projects, prepare dashboards, support reporting, document delivery, structure implementation, manage vendors or suppliers, and maintain commercial or service records.
When UpperOps™ processes personal information on behalf of a client under a signed agreement, UpperOps™ may act as a processor, service provider, or similar role, depending on the applicable law and contract. In that context, the client may be responsible for determining the purpose and lawful basis of the processing, while UpperOps™ processes the relevant information according to the signed Statement of Work (SOW), Data Processing Addendum (DPA), documented instructions, or other applicable written terms.
When UpperOps™ collects and uses information for its own website, commercial communication, business administration, recruiting pipeline, candidate network, internal records, security, compliance, or relationship management, UpperOps™ may act as an independent business or controller for that limited processing.
UpperOps™ does not make final hiring decisions for clients unless expressly stated in a signed agreement. Clients remain responsible for their own hiring decisions, management decisions, compliance decisions, and employment-related determinations unless a specific responsibility is expressly assumed by UpperOps™ in writing.
UpperOps™ may use cookies, pixels, analytics tools, form tools, website logs, and similar technologies to operate the website, understand website usage, improve user experience, measure content performance, protect the site, route inquiries, and support basic business analytics.

When UpperOps™ processes personal information on behalf of a client under a signed agreement, return, deletion, export, transition support, or continued retention will be handled according to the applicable written agreement and documented instructions, subject to lawful exceptions.
Deletion requests may not result in immediate deletion from all systems if retention is required for legal compliance, accounting, security, backup integrity, dispute preservation, contractual obligations, fraud prevention, operational continuity, or other lawful reasons.
Where information is retained after a request, UpperOps™ will continue to protect it according to applicable confidentiality, security, and use restrictions.
UpperOps™ uses commercially reasonable administrative, technical, and organizational safeguards designed to protect personal information within UpperOps™ control against unauthorized access, disclosure, misuse, alteration, loss, or destruction.
Depending on the systems, services, and engagement involved, safeguards may include access controls, credential management, role-based permissions, secure file handling, restricted access to operational records, secure communication practices, device and account management, confidentiality obligations, internal awareness, and vendor or platform controls.

UpperOps™ may operate with cross-border coordination, remote personnel, cloud tools, communication systems, clients, candidates, vendors, contractors, suppliers, and service providers located in different jurisdictions.
Personal information may be accessed, processed, stored, transmitted, reviewed, or supported in the United States (U.S.), Honduras, Latin America (LATAM), or other jurisdictions where UpperOps™, its clients, service providers, contractors, subprocessors, or operational collaborators are located.
Data-protection laws may differ between jurisdictions.
